Annual Secretarial Compliance Report for FY 2022-23 now to be filed in XBRL Format
Regulation 24A(2) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements), Regulations, 2015 provides that a listed entity shall submit an annual secretarial compliance report within 60 days from the end of financial year. SEBI vide circular no. CIR/CFD/CMD1/27/2019 dated February 08, 2019, issued the initial format of the Annual secretarial compliance report for listed entities.
Bombay Stock Exchange (‘BSE’) and National Stock Exchange (‘NSE’) vide their circulars dt: March 16, 2023 and April 10, 2023 provided for additional affirmations that have to be provided while submitting Annual Secretarial Compliance Report (‘ASCR’) by a Practicing Company Secretary. The revised ASCR with all these additional affirmations was applicable for the financial year 2022-2023 onwards. This ASCR was required to be submitted in pdf. Form with stock exchanges. The Institute of Company Secretaries of India (‘ICSI’) had also issued guidance, from time to time, to Practicing Company Secretaries to include a few additional points in the ASCR.
BSE and NSE have now vide their circulars dt: June 14, 2023 asked listed companies to submit ASCR for FY 22-23 in XBRL mode by June 30, 2023 (i.e., those ASCR which would have been submitted in .pdf formats by May 30, 2023 or thereafter need to be submitted in XBRL mode by June 30, 2023).
NSE has also provided guidance on procedure for uploading XBRL files vide the same circular.
